Payment, Refund and Returns Policy of indie distribution GmbH, Germany

Scope
  1. These General Terms and Conditions (hereinafter “GTC”) of indie distribution GmbH (hereinafter “Seller”) apply to all contracts concluded by a businessperson (hereinafter “Buyer”) with the Seller regarding the goods presented by the Seller on its online platform or in any other way. The inclusion of the Buyer’s own conditions is herewith objected to, unless other terms have been stipulated.
  2. For the purposes of these GTC, a ‘businessperson’ is a natural or legal person or a partnership with legal personality who, when entering into a legal transaction, acts in the exercise of his, her or its trade, business or profession.
Conclusion of Contract
  1. The product presentations by the Seller in the online shop do not represent a binding offer for the conclusion of a purchase contract. Rather, these are non-binding invitations to the Buyer to order products.
  2. The Buyer’s order for the desired goods is considered a binding contractual offer. The Seller can accept this offer at its discretion within two weeks.
  3. Acceptance of the offer by the Seller takes place in writing or in text form or by sending the ordered goods within the specified period.
Right of Withdrawal
  1. The right of withdrawal does not apply to contracts with entrepreneurs, therefore the Buyer has no right of withdrawal.
Prices and Payment Conditions
  1. Unless otherwise agreed, the prices valid on the day of the order apply. All prices are exclusive of the applicable statutory value-added tax.
  2. Payment can be made in advance, by invoice, or by other agreed payment methods.
  3. The purchase price must be paid within 14 days for intra-European orders and within 30 days for worldwide orders from the invoice date without deduction, unless otherwise agreed. We reserve the right to require an advance payment of at least 50% for first orders.
Delivery and Shipping Conditions
  1. Delivery is made to the delivery address specified by the Buyer, unless otherwise agreed.
  2. The delivery time is specified at the time of ordering and begins the day after the contract is concluded.
Retention of Title
  1. The goods remain the property of the Seller until full payment of the purchase price.
Liability for Defects
  1. The statutory liability for defects rights apply.
Final Provisions
  1. The law of the Federal Republic of Germany shall apply to contracts between the Seller and the Buyer. The UN Sales Convention does not apply.
  2. If the Buyer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the Buyer and the Seller is the Seller’s place of business.
  3. Should individual provisions of the contract with the customer, including these GTC, be or become wholly or partially invalid, this shall not affect the validity of the remaining provisions. The wholly or partially invalid regulation shall be replaced by a regulation whose economic success comes as close as possible to that of the invalid one.
